GRM Overseas (NSE: GRMOVER) fell about 9.8% to Rs 82.1, taking its one-month decline to a stark -42%. The company filed a standard price-movement clarification with the exchanges on June 10.

The bulk-deal churn

Yesterday's bulk-deal record shows heavy, structured activity in the counter:

  • R G Family Trust sold 15,00,000 shares at Rs 91.23
  • Ravi Goyal (HUF) bought 15,00,000 shares at Rs 91.31 - the same quantity, at nearly the same price
  • HRTI Private Limited sold 13,72,144 shares at Rs 94.87
  • QE Securities LLP sold 11,70,306 shares at Rs 94.53

The matched trust-sale/HUF-purchase pair reads like a transfer between entities of the same family rather than an exit - but the two additional sales totalling ~25 lakh shares (about 1.2% of the company) were absorbed by the market the day before today's fall. We present the record as filed; the exchange disclosures carry the names.

The disconnect: price vs P&L

What makes this slide notable is that it is happening against improving reported numbers. From filings, FY26 revenue rose to Rs 1,769 crore from Rs 1,348 crore (+31%) and net profit to Rs 74.3 crore from Rs 61.2 crore (+21%). The March quarter was the year's best: revenue Rs 606.8 crore, net profit Rs 21.6 crore. Trailing P/E after the fall is ~22.8, with ROE ~14.5% and promoter holding 62.5%.

What the tape says

Interestingly, today's fall came on below-average volume (0.4× daily average) with delivery at ~32% versus a ~24% average - thin trade where a larger-than-usual share of sellers were delivering out positions. Thin-volume declines can compound quickly in smallcaps because there are simply few bids to absorb supply.

The stock's 52-week range is Rs 89.1–185.5 - meaning today's close sits below the previous 52-week low, fresh ground on the downside.
